1. Acceptance of Terms
By accessing or using the WebQ website (webq.com.bd), purchasing software products, registering for courses, or entering into service contracts with WebQ Ltd ("WebQ," "we," "us"), you acknowledge that you have read, understood, and agreed to be legally bound by these Terms of Service. If you do not agree to these terms, you must discontinue platform use immediately.
2. Services & Product Licenses
WebQ provides full-lifecycle technology and marketing solutions under several engagement models:
- Custom Development Services: Web application, mobile application, software architecture, UI/UX, and maintenance contracts defined under mutually signed Statements of Work (SOW).
- Digital Software Products: Non-exclusive, non-transferable commercial licenses granted for pre-packaged software, ERPs, POS systems, and templates upon full payment.
- Educational Courses: Personal, non-transferable access to video materials, lesson exercises, and learning outcomes for enrolled students.
- Domain & Cloud Hosting: Management, DNS configuration, and server allocations governed by uptime service-level agreements.
3. Account Security & Responsibilities
Clients are responsible for maintaining the confidentiality of their credentials and all activities occurring under their authenticated accounts. You agree to notify WebQ immediately upon discovering any unauthorized use or security vulnerability. WebQ cannot and will not be liable for losses arising from your failure to safeguard your authentication tokens or passwords.
4. Fees, Invoicing & Payment Terms
Financial transactions are governed by the following business standards:
- Currency: Standard pricing is denominated in Bangladeshi Taka (BDT / ৳) unless specified otherwise on formal international invoices (USD/EUR).
- Payment Methods: We support authorized payment channels including bKash, Nagad, Rocket, direct corporate bank transfer, and verified debit/credit cards.
- Payment Timelines: Invoices issued to client dashboards must be cleared before milestone deliverables, source code handovers, or hosting server activations.
- Taxes: All quoted prices include standard statutory local VAT unless explicitly itemized on the invoice.
5. Intellectual Property Rights
Upon receipt of 100% agreed payment for bespoke custom software development, WebQ assigns to the client the ownership of the proprietary custom code and deliverables created specifically for the project. WebQ retains full ownership of its core platform libraries, reusable utility modules, starter kits, and proprietary developer tooling.
Digital products and course curriculums remain the exclusive intellectual property of WebQ Ltd and may not be resold, decompiled, publicly redistributed, or sublicensed without explicit prior written authorization.
6. Revisions, Cancellations & Refund Policies
Custom service agreements specify structured milestone reviews. Change requests outside initial project scope will be evaluated under supplementary change orders.
Due to the immediate distribution of digital goods and course content, purchases of digital software source codes or completed course enrollments are generally non-refundable once files have been accessed or downloaded. Disputed charges or refund claims can be submitted via the Client Dashboard Support Ticketing system.
7. Limitation of Liability
To the maximum extent permitted by applicable law, WebQ Ltd shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of business revenue, profits, data corruption, or operational interruptions resulting from third-party cloud infrastructure outages, cyber incidents, or network latency.
8. Governing Law & Dispute Resolution
These Terms of Service and any contractual disputes arising out of or related to our services shall be governed by and construed in accordance with the laws of the People's Republic of Bangladesh. Both parties agree to seek amicable resolution through good-faith negotiation before submitting to the exclusive jurisdiction of the competent courts in Dhaka, Bangladesh.
